Terms of Service

Version 1.0Effective date:

These Terms of Service (the “Terms”) govern your access to and use of Agent.Space, including its websites, applications, workspaces, artificial intelligence features, Developer API, subscription plans, Flex credits, collaboration tools, and related services (collectively, the “Services”). The Services are provided by Flowith Technologies Pte. Ltd., a Private Company Limited by Shares incorporated in the Republic of Singapore, operating as Agent.Space and referred to in these Terms as “Agent.Space,” “we,” “us,” or “our.”

By creating an account, purchasing a subscription, accessing, or using the Services, you agree to be legally bound by these Terms. Our Privacy Policy explains how Personal Data is handled; it is a notice, not a substitute for any consent or other legal basis required by law. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree to these Terms, do not access or use the Services.

1. Acceptance and Incorporated Terms

These Terms include any product-specific terms, acceptable-use rules, purchase terms, plan descriptions, order forms, and policies that we make available to you and expressly incorporate by reference. If product-specific terms conflict with these Terms, the product-specific terms control solely for the relevant product or feature.

2. Eligibility and Accounts

You must meet the minimum age and legal-capacity requirements applicable where you live. If you are below the age of majority but permitted to use the Services, a parent or legal guardian must review and accept these Terms on your behalf and supervise your use where required by law. We may restrict features or require age verification when necessary to comply with law or protect users.

You must provide accurate, current, and complete registration information and keep it updated. You are responsible for safeguarding your password, API keys, access tokens, and other credentials, and for all activity under your account. You may not sell, rent, transfer, or make your account available to unauthorized persons. Notify us promptly through our designated support channel if you suspect unauthorized access.

3. The Services and Beta Features

The Services may include AI conversations and generation, workspaces, automated workflows and tasks, collaboration features, model access, the Developer API, subscriptions, Flex credits, and related development tools. Features, plans, pricing, credits, limits, and availability are described on the applicable purchase page or in your account.

We may add, modify, suspend, or discontinue any part of the Services in response to product, technical, supplier, security, or legal requirements. Where reasonably practicable, we will provide notice of material changes.

Features identified as alpha, beta, preview, early access, experimental, or similar (“Beta Features”) may be incomplete, unstable, or subject to additional terms. Beta Features are provided “as is” and may be changed or withdrawn at any time.

4. Subscriptions, Fees, and Payment

Subscription prices, billing periods, included benefits, usage allowances, taxes, and payment methods are shown at checkout or in your account. You authorize us and our payment providers to charge the applicable amounts using your selected payment method.

Unless otherwise stated at checkout, subscriptions automatically renew for the same billing period until cancelled. The applicable renewal price and any required notice are subject to the terms shown at checkout and applicable law. You must maintain a valid payment method. If a payment is declined, delayed, reversed, or disputed, we may suspend the affected subscription, credits, or access while the matter is resolved.

Upgrades, downgrades, billing-cycle changes, and prorated charges are available only where supported by the relevant plan and payment provider. The amount and effective date shown on the confirmation page control.

5. Cancellation

You may request cancellation of the next renewal through available account controls or our designated support channel. Cancellation does not automatically create a refund. Unless otherwise stated, the current subscription and benefits normally remain available until the end of the current paid billing period.

Immediate termination differs from cancellation of renewal. If an exceptional refund is approved under Section 6, the relevant subscription benefits will end at the time specified in the written approval, which may be before the refund reaches your payment account. Processing or banking delays do not extend those benefits. Access may also end earlier where required by law or under the suspension and termination provisions of these Terms. Mandatory consumer rights remain unaffected.

6. Refund Policy

Except where applicable law requires otherwise, all fees paid for subscriptions are non-refundable. Agent.Space may approve a full or partial refund only in exceptional circumstances, at our sole discretion, after completing our review and confirming approval in writing.

A request for an exceptional refund must be received through our designated support channel within forty-eight (48) hours after the relevant payment is successfully completed and must identify the account and transaction. You must provide reasonably requested supporting information for verification. The receipt time of an identifiable request determines whether it was submitted in time; later verification does not restart the deadline. Submitting a request does not suspend service, stop renewal, or create a right to a refund. If approved, the written approval will state the refund amount and the time when the relevant benefits end under Section 5. Payment-provider and banking processing times may differ from that termination time.

For a first-purchase paid subscription invoice to qualify for an exceptional refund, all of the following conditions must be satisfied:

  • the request relates to the specific invoice for which payment was made;
  • the request was received within the forty-eight-hour period stated above;
  • usage attributable to that invoice period and incurred up to receipt of the identifiable request, once reconciled, is below 10% of the associated plan’s frozen first-week allowance. “Frozen first-week allowance” means one weekly allowance recorded for that plan at the first purchase. The same one-week reference amount applies to both monthly and annual subscriptions; it is not the total allowance for the first month or year. Subsequent plan changes do not change that reference amount. Usage incurred before receipt is counted even if settled later; usage incurred after receipt does not retrospectively change this eligibility threshold;
  • usage from earlier billing periods is not counted toward the current invoice;
  • the payment, invoice, discounts, credits, prior refunds, and usage records can be verified and reconciled to our reasonable satisfaction;
  • there are no reasonable grounds to suspect fraud, abuse, or a material breach of these Terms, and any pending payment dispute or chargeback concerning the same payment has been reconciled so that duplicate recovery is avoided; this does not restrict your right to raise a payment dispute or exercise a statutory right; and
  • the request is approved by Agent.Space after review and, where relevant, confirmed by the applicable payment provider.

Even when these conditions are met, a refund is not automatic. We may await reconciliation of pending usage before making a decision; our review time alone does not make a timely request late or change the usage cut-off. In determining an exceptional refund, we may consider the amount actually paid, discounts, prior refunds, and verified usage, including usage after the request and before the relevant benefits end. Any usage deduction must follow the pricing or credit-conversion rules disclosed for the purchase; this clause does not introduce an undisclosed charge. For the same invoice, cumulative exceptional refunds, together with amounts already returned through payment disputes or other reversals, must not exceed the amount actually paid. Promotional and complimentary credits do not increase that amount. We do not grant an ordinary refund merely because you cancel, do not use the Services, change plans, or use only part of a billing period.

The forty-eight-hour deadline, usage threshold, discretionary approval requirements, and exceptional-refund calculations apply only to voluntary exceptional refunds, not to mandatory legal remedies. Any mandatory cancellation, cooling-off, withdrawal, remedy, chargeback, or refund rights under applicable law remain unaffected and do not depend on our discretionary approval. Tax-inclusive invoices may require a credit note or other procedure under applicable tax law.

7. Flex Credits and Other Credits

Purchased Flex credits are non-refundable except where required by law or where Agent.Space approves an exceptional refund in writing. An exceptional Flex refund request must identify the relevant purchase and be received within forty-eight (48) hours after payment is successfully completed. The submission, verification, anti-abuse, payment-dispute reconciliation, written-approval, and mandatory-rights provisions of Section 6 apply, but its subscription-invoice and 10%-of-weekly-allowance eligibility tests do not apply to Flex purchases. Satisfying the conditions does not guarantee approval.

An approved Flex refund is limited to the actual purchase price attributable to credits from that purchase that remain unused and have not previously been refunded or reversed when those credits are removed for refund processing. The unused portion is determined using the credit application order disclosed for that purchase, including pending usage attributable to it. Credits used while a request is under review reduce the refundable balance. The refunded credits will be removed when the approved refund is processed; they cannot also be spent. For the same purchase, cumulative exceptional refunds and other payment reversals must not exceed the amount actually paid. Consumed Flex credits and promotional, referral, service-compensation, or other non-purchased credits cannot be redeemed for cash, except where applicable law requires otherwise.

Credit validity, expiration, application order, and other restrictions are shown in your account or the applicable campaign terms. Credits have no cash value except where required by law.

8. Promotions and Referral Rewards

Promotions, coupons, introductory offers, and referral rewards are subject to their applicable campaign rules and may not be transferred, sold, or redeemed for cash.

If an order receives a full or partial refund, rewards associated with that order may be permanently cancelled. Unused rewards may be withdrawn. If promotional credits have already been used, the resulting reward adjustment may be deducted from future rewards where permitted by law and the applicable campaign rules.

9. Developer API and Usage

You may access only the APIs, models, workspaces, and resources that you are authorized to use. You must comply with applicable technical documentation, rate limits, quotas, model-provider restrictions, and security requirements.

You may not bypass or interfere with usage limits, billing, authentication, access controls, or safety measures. Do not publish, share, or commit API keys to public repositories. You are responsible for calls and charges resulting from exposed, misconfigured, or improperly used credentials, except to the extent caused by our breach of applicable obligations.

9.1 Remote Device Control and Collaboration

Some collaboration features may allow you to view, access, or control a remote device, desktop, browser, application, workspace, or other connected environment (“Remote Control Features”). Use is permitted only for devices, accounts, data, and environments that you own or are authorized to access and control. Before enabling a collaborator, agent, or other participant, you must give any required notices and obtain the permissions and consents required by law or agreement from the relevant owner, administrator, user, or data subject. Authority to access an environment does not by itself authorize every action or disclosure within it.

You are responsible for deciding whether to enable a Remote Control Feature and for configuring the permissions and participants using the controls actually available for that feature. Available scope, duration, supervision, and revocation controls depend on the feature and connected environment. Grant only necessary access, review permissions, supervise activity as appropriate to its risks, and revoke access when no longer needed. Use participant-specific access where supported; do not share passwords or authentication secrets as a substitute for authorized collaboration. Protect credentials and sensitive information that may appear in the connected environment. You must not bypass authentication, security, access or payment controls, or another person’s privacy or property rights.

Remote actions may change or delete files, send communications, make purchases, publish information, or affect applications, accounts, settings, and other systems. Before authorizing a task, review its scope, recipients, cost, and foreseeable consequences. Do not delegate high-impact or irreversible actions without suitable authorization and oversight; use separate approval steps where supported. Permission to observe a screen or assist with a task does not by itself authorize purchases, publication, destructive changes, or unrelated access.

To withdraw access, use the available session, account, integration, or device controls. Revocation is prospective: it does not undo completed actions and may not recall commands already delivered to a device or third-party service. Stopping a session may not separately cancel queued tasks or revoke external credentials; check and stop those tasks and revoke those credentials separately where applicable. Report suspected unauthorized activity promptly.

You are responsible for the lawfulness of your authorization and instructions and for collaborators’ or agents’ actions to the extent attributable to your instructions, permissions, breach, or failure to take reasonable care. Merely enabling a feature does not make you responsible for every action, including an action outside your instructions or granted permissions. Responsibility for such an action depends on its cause and applicable law. Nothing in these Terms transfers to you responsibility to the extent caused by Agent.Space’s own breach, negligence, failure of required security or permission controls, or other liability for which it is legally responsible. Section 20 applies to the extent lawful.

We do not independently establish your legal entitlement to a device, account, or third-party data, or assess the business merits of every instruction. This does not remove our applicable authentication, access-control, security, or data-protection obligations. We may process permission settings, connection information, and activity records for the purposes and subject to the limits described in our Privacy Policy.

10. User Content

“User Content” means prompts, inputs, files, workflows, tasks, instructions, feedback, AI-generated outputs, and other content that you upload, submit, create, or store through the Services. As between you and Agent.Space, you retain any rights you hold in your User Content.

You grant Agent.Space a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and display User Content only to the extent reasonably necessary to provide the features you request; maintain and secure the Services; provide support and troubleshoot errors; prevent abuse; comply with law; and enforce these Terms. This license does not authorize unrestricted content analysis, unrelated product research, or model training. Personal Data processing and any separately authorized optional use are governed by the Privacy Policy and applicable choices. The license ends when the relevant content is deleted from our active systems, except for limited processing reasonably necessary for lawful retention and backup cycles.

You represent that you have all rights and permissions needed to provide User Content and to authorize its processing. You must not submit content that is unlawful, infringing, fraudulent, malicious, defamatory, privacy-invasive, or otherwise prohibited by these Terms.

11. AI Outputs and Third-Party Models

AI and automated features may produce inaccurate, incomplete, biased, offensive, or unsuitable results. Outputs may not be unique, and other users may receive similar results. You are responsible for reviewing outputs and verifying their accuracy, legality, safety, and suitability before use.

Do not rely on AI outputs as a substitute for professional medical, legal, financial, safety, or other expert advice. You are responsible for decisions and actions taken based on outputs.

Some features may rely on third-party model, infrastructure, or technology providers. Material provider restrictions that apply directly to your use will be made available with the relevant feature or documentation. Subject to applicable law, these Terms, and third-party rights, you may use outputs for personal or commercial purposes. Agent.Space does not represent that an output is free of third-party rights or that copyright or other legal protection will attach to it.

12. Prohibited Conduct

You may not use the Services to:

  • violate applicable law, sanctions, export controls, or the rights of any person;
  • engage in fraud, scams, impersonation, harassment, threats, exploitation, or harm;
  • create, distribute, or facilitate child sexual abuse material, sexual exploitation, non-consensual intimate content, trafficking, terrorism, unlawful hate, or credible threats of violence;
  • access or attempt to access systems, accounts, data, or third-party services without authorization;
  • reverse engineer, attack, disrupt, scrape without authorization, introduce malware, exploit vulnerabilities, or bypass technical, safety, billing, or access controls;
  • misrepresent payment, refund, usage, reward, age, or identity information;
  • use automation in a manner that excessively consumes resources, degrades the Services, or interferes with other users; or
  • use the Services to develop or distribute malware, phishing content, or other unlawful or seriously harmful material.

We may remove or restrict content, limit features, suspend or terminate accounts, preserve evidence, withhold ineligible refunds or rewards, and pursue other lawful remedies when we reasonably believe a violation has occurred.

13. Storage and Retention

The Services are not a permanent archival or backup service. Unless a different retention period is expressly stated in an applicable subscription plan, feature description, or service-specific term, Agent.Space provides standard storage for User Content for up to six (6) months from the date the relevant User Content is first created, uploaded, generated, or otherwise stored through the Services (the “Standard Retention Period”). You are responsible for downloading or maintaining independent copies of User Content that you need to preserve.

After the Standard Retention Period expires, Agent.Space may archive, compress, de-index, restrict access to, make partially unavailable, or permanently delete the relevant User Content to the maximum extent permitted by law. We do not guarantee that User Content will remain fully accessible, downloadable, exportable, or recoverable after that period. We may retain certain User Content or related information longer where reasonably necessary for legal compliance, security, fraud prevention, billing, dispute resolution, or enforcement. Such retained content may remain inaccessible to you and will be handled in accordance with our Privacy Policy and applicable law.

14. Third-Party Services

The Services may interoperate with payment providers, model providers, hosting platforms, integrations, and other third-party services. Their availability, processing times, prices, policies, and limitations may affect the Services. Independent third-party services are governed by their own terms and privacy policies, and we do not control or guarantee their continued availability, security, or accuracy. This does not exclude our applicable obligations in selecting and using service providers that process data on our behalf, or our responsibility for our own Services.

15. Agent.Space Intellectual Property

The Services, including their software, interfaces, trademarks, documentation, designs, workflows, code, databases, and other materials, are owned by Agent.Space or its licensors and are protected by intellectual-property laws. Except for the limited right to use the Services under these Terms, no rights are transferred to you.

You may provide feedback. You grant us a worldwide, perpetual, irrevocable, royalty-free right to use ideas and suggestions in feedback without compensation, subject to applicable law and our Privacy Policy for any Personal Data in that feedback. We will not publicly identify you as its source without permission.

16. Privacy

Our Privacy Policy explains how we collect, use, retain, disclose, and protect Personal Data. By using the Services, you acknowledge the practices described in that policy.

17. Suspension and Termination

We may suspend or terminate some or all access where you breach these Terms, fail to pay, create fraud or security risk, abuse the Services, or where required by law or by a relevant provider. Where appropriate and legally permitted, we may provide notice and an opportunity to cure.

You may stop using the Services at any time. Account termination does not affect accrued payment obligations, refund verification, dispute resolution, intellectual-property rights, liability limitations, or provisions that by their nature should survive.

18. Geographic Restrictions and Export Controls

The Services are not offered where their provision or use would violate applicable laws, sanctions, export controls, or other legal restrictions. You represent that you are not prohibited from accessing the Services and will not make the Services available to a prohibited person or destination.

19. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Agent.Space disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, security, and accuracy or completeness of AI outputs. We do not guarantee uninterrupted, error-free, or fully secure operation.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

20. Limitation of Liability

To the maximum extent permitted by law, Agent.Space and its affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, business opportunities, or business interruption, arising from or related to the Services.

To the maximum extent permitted by law, Agent.Space’s total aggregate liability for claims arising from or relating to the Services will not exceed the amount you actually paid to Agent.Space for the Services during the twelve months immediately preceding the event giving rise to the claim. This cap and the exclusions above do not apply to liability that cannot lawfully be excluded or limited, including any non-waivable consumer remedy.

21. Indemnification

To the extent permitted by law, you agree to indemnify, defend, and hold harmless Agent.Space and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, costs, and reasonable legal fees to the extent caused by your breach of these Terms, misuse of the Services, unlawful or infringing User Content, infringement of third-party rights, or violation of law, including through your use of AI outputs or Remote Control Features. Mere use of an AI output or feature does not itself create an indemnity obligation. This obligation does not apply to the extent a claim is caused by Agent.Space’s own breach, negligence, or other conduct for which it is legally responsible, and does not limit non-waivable consumer rights.

22. Changes to These Terms

We may update these Terms. We will provide notice of material changes through the Services, by email, or by another reasonable method. The updated version will state its effective date. Continued use after that date constitutes acceptance where permitted by law. If you do not agree, you must stop using the Services.

23. Governing Law and Dispute Resolution

These Terms and disputes arising from them are provisionally governed by the laws of Singapore, without regard to conflict-of-law principles. Disputes are provisionally submitted to the exclusive jurisdiction of the courts of Singapore. These provisional choices remain subject to discussion before publication and do not limit non-waivable consumer rights or access to a forum required by applicable law.

24. Miscellaneous

If any provision is held invalid or unenforceable, it will be enforced to the maximum permissible extent and the remaining provisions will remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a reorganization, merger, acquisition, or transfer of the Services, subject to applicable law.

These Terms and incorporated policies constitute the entire agreement between you and Agent.Space regarding the Services, except for any separate written agreement that expressly supersedes them.

25. Contact

Questions about these Terms, accounts, payments, refunds, or the Services should be sent to support@agent.space.
